SECTION 1 – LEGAL AGREEMENT

Relationship of Brands. "Blue Dot Photos" is a trade name and marketing brand used by InsideMaps Inc. to offer its Services directly to consumers ("B2C"). Blue Dot Photos is not a separate legal entity; all Services, Media, Platforms, and obligations described in this Agreement are owned, operated, and provided by InsideMaps Inc. References in these Terms to "Blue Dot Photos," "InsideMaps," "Company," "we," "our," or "us" refer to InsideMaps Inc.

These Terms and Conditions (“Terms,” “Agreement”) govern your access to and use of Blue Dot Photos’ services, products, websites, media, and digital delivery systems (collectively, the “Services”). By accessing or using the Websites or Services, you agree to be legally bound by these Terms. If you are entering into this Agreement on behalf of a company or organization, you represent that you are authorized to do so.

If you do not agree to these Terms, you must not use the Websites or Services.

SECTION 2 – DEFINITIONS

For purposes of this Agreement, the following definitions apply:

SECTION 3 – ACCEPTANCE OF TERMS

Clients must comply with federal/state laws, MLS advertising rules, and real-estate marketing standards including AI disclosure and virtual staging rules.

By using the Websites or Services, you confirm that:

• You are at least 18 years old or a legally registered business entity.

• You have the authority to enter into this Agreement.

• You agree to comply with all applicable local, state, and federal laws.

• You understand that Blue Dot Photos may update these Terms at any time without prior notice.

• Your continued use of the Services constitutes your acceptance of any modified Terms.

SECTION 4 – COMPANY OVERVIEW & RELATIONSHIP WITH INSIDEMAPS

Blue Dot Photos provides photography, video, floorplan, 3D, and real estate media production services, delivered through the InsideMaps platform. As set forth in Section 1, Blue Dot Photos is a trade name of InsideMaps Inc. and not a separate legal entity or division; InsideMaps Inc. is the sole legal entity providing the Services and operating the Platform.

Company is not liable for service outages or technical errors arising from the Platform, except as set forth in Section 26.

Client agrees that routine hosting, storage, or delivery interruptions do not, on their own, constitute grounds for refund or dispute.

SECTION 5 – USER ACCOUNTS

• The Client may be granted access to a digital account used to order and download Media.

• Client is responsible for safeguarding login credentials.

• Sharing login access externally is strictly prohibited.

• Blue Dot Photos may disable or suspend an account for suspected security issues or Terms violations.

SECTION 6 – INTELLECTUAL PROPERTY OWNERSHIP

6.1 Ownership of Media

All Media produced by Blue Dot Photos—whether delivered or not—is and shall remain the exclusive property of Blue Dot Photos. Full copyright ownership is retained by Blue Dot Photos under U.S. Copyright Law (Title 17 U.S.C.).

6.2 No Transfer of Copyright

Purchase of Services does not transfer copyright or ownership of any Media to the Client. All rights not expressly granted in this Agreement are reserved by Blue Dot Photos.

6.3 Unauthorized Use Prohibited

Client may not, without prior written consent from Blue Dot Photos:

• Resell, sublicense, license, or distribute Media to any third party outside of normal real estate marketing channels permitted under this Agreement (such as MLS systems, IDX feeds, brokerage websites, and real estate marketing platforms).

• Allow other agents, brokers, stagers, builders, contractors, or companies to reuse Media without written permission

• Submit Media to stock photo websites or digital resale platforms

• Remove copyright metadata or Blue Dot Photos branding

• Use Media to train or enhance artificial intelligence (AI) or machine learning models

• Claim ownership or authorship of Media

• Use Media for defamatory, misleading, or illegal content

Unauthorized usage will result in license termination, retroactive licensing fees, and legal enforcement.

SECTION 7 – Property Data & Analytics Rights

7.1 Blue Dot Photos retains all rights, title, and interest in and to all data generated through the capture, processing, or analysis of a property, including but not limited to measurements, spatial information, image-derived analytics, metadata, and any related datasets.

SECTION 8 – MEDIA LICENSING (SUMMARY)

This Agreement includes a Media License summary. A full Media License Agreement is referenced separately and shall apply.

8.1 License Grant

Upon full payment, Blue Dot Photos grants Client a limited, perpetual, non-exclusive, non-transferable license to use the Media solely for marketing a single property listing or for promotion of the Client’s business.

8.2 Permitted Use

Client may use content for:

• MLS listings

• Brokerage sites & IDX feeds

• Social media & reels

• Business promotion & brand marketing

• Email campaigns, flyers, postcards

• Video walkthroughs, YouTube, short-form platforms

8.3 Prohibited Use

Client shall not:

• Reuse Media for relisting by a new agent without relicensing

• Transfer Media to another brokerage or marketing agency

• Use Media in paid national commercial campaigns without a commercial license

• Use Media for architectural, developer, builder, or investor projects without relicensing

8.4 Relicensing

Any third party who wishes to use Media must:

• Obtain written approval from Blue Dot Photos

• Pay a relicensing fee

• Be subject to this Agreement

8.5 Portfolio Rights

Blue Dot Photos retains the right to display Media in its portfolio, website, advertising, training, or social media unless the Client requests an NDA before the shoot. An NDA may involve an additional fee and/or separate contract.

SECTION 9 – USER CONTENT & CLIENT MATERIALS

9.1 Client confirms they have necessary rights to any content they provide.

9.2 Client is responsible for accuracy of property data and listing compliance.

9.3 Client grants Blue Dot Photos a limited right to display non-confidential branding in the course of producing and displaying Media.

SECTION 10 – SERVICE TERMS

10.1 Scope of Services

Blue Dot Photos provides real estate media services including photography, video production, floorplans, virtual tours, aerial/drone imagery, property websites, marketing materials, and related services.

10.2 Delivery Timeline

Standard turnaround times vary by service and market. Estimated delivery times are not guaranteed unless expressly stated in writing.

10.3 Service Availability

Service availability may be affected by:

• Photographer scheduling

• Geographic coverage

• Weather and FAA drone restrictions

• Property readiness and access

• Platform availability

• Any other operational, technical, logistical, or regulatory factors outside the reasonable control of Blue Dot Photos.

SECTION 11 – PAYMENT TERMS

11.1 Payment Due

Payment is due upon delivery unless otherwise agreed in writing.

11.2 Accepted Payments

Payments may be made by credit card, ACH, or approved invoicing.

11.3 Late Payments

If Client fails to pay within seven (7) days of invoice, Blue Dot Photos may:

• Charge a late fee of 5% of the total outstanding invoice amount, compounding every 14-day period until paid.

• Suspend account access

• Withhold or revoke Media licenses until payment is received

11.4 Chargebacks Prohibited

Client agrees to contact Blue Dot Photos to resolve billing issues before initiating a chargeback. Improper or fraudulent chargebacks may result in account suspension, license revocation, and recovery of associated costs.

11.5 Pricing Changes

Pricing may change at any time. Quotes are valid only for the period specified.

11.6 Taxes

Client is responsible for paying any applicable taxes on Services.

SECTION 12 – CANCELLATION POLICY

12.1 Scheduled shoots canceled by Client:

12.2 If photographer arrives and property is not ready or access is denied:

• Full service fee applies

• Additional trip fee may apply for rescheduling

SECTION 13 – Right of Entry / Property Access

Client represents that they have permission to grant Blue Dot Photos access to the property for photography and related services. Client agrees to indemnify Blue Dot Photos from any claims, damages, liabilities, or expenses arising from the Client’s lack of authority or permission to grant such access.

SECTION 14 – WEATHER POLICY

• Cloudy/overcast weather does not qualify for a free reshoot

• Reshoots due to FAA drone restrictions or unsafe weather are rescheduled at no charge

• Blue Dot Photos reserves full discretion over drone flight safety

SECTION 15 – DELIVERY OF MEDIA

15.1 Delivery Definition

“Delivery” occurs when Media files are uploaded and made accessible to the Client via a downloadable gallery, delivery link, the InsideMaps platform, or another digital distribution method provided by Blue Dot Photos. Delivery is deemed complete upon availability of the files, whether or not the Client downloads or accesses them.

15.2 Delivery Method

Media is delivered digitally via downloadable gallery, delivery link, or the InsideMaps platform.

15.3 Turnaround Time

Estimated delivery times are provided as a courtesy but are not guaranteed unless otherwise stated in writing.

15.4 File Access

Download links remain active for 60 days from delivery. Blue Dot Photos does not guarantee long-term file storage.

SECTION 16 – HOSTING POLICY (3D TOURS + PROPERTY SITES)

16.1 Hosting Duration

3D tour hosting is included for a limited time as part of the service. Extensions may require additional hosting fees.

16.2 Hosting Interruption

Platform outages or hosting interruptions do not, on their own, entitle Client to refunds or disputes.

16.3 Transfer Limitations

3D tour hosting cannot be transferred or reused for new listings without relicensing.

SECTION 17 – RESHOOT POLICY

17.1 Reshoot fees may apply when additional photography is required due to circumstances including, but not limited to:

• Property not staged, prepared or cleaned at the time of the shoot

• Access issues or restricted/areas locked

• Client requests new angles, compositions, or style changes

• Relisting of the property by a new agent

• Renovations, repairs, staging changes or furniture changes after the original shoot

• Any other changes to the property or circumstances that require additional photography beyond the originally scheduled service

Reshoots are free only when:

• A technical issue occurs due to Blue Dot Photos equipment failure

• Images contain verified processing errors

SECTION 18 – DRONE OPERATIONS

18.1 FAA Compliance

All drone flights comply with FAA Part 107 regulations. Flights may be declined due to:

• Restricted airspace

• Unsafe flight conditions

• Local authority restrictions

• Lack of proper authorization

18.2 Weather

Blue Dot Photos reserves full discretion over drone safety in changing weather conditions.

18.3 Permits

Some areas may require additional drone permits and fees, which are the responsibility of the Client.

18.4 Privacy Complaints

Client acknowledges that drone imagery may incidentally capture neighboring properties and agrees that such incidental capture does not constitute misuse.

SECTION 19 – PROPERTY PREPARATION

The Client is responsible for ensuring that the property is photo-ready at the scheduled shoot time. Blue Dot Photos does not prepare or stage the property, including but not limited to:

• Clean or removing personal items

• Stage or rearranging furniture unless specifically contracted

• Handle pets, hazardous areas, or unsafe property conditions

• Any other preparation, cleaning, staging, or property readiness tasks required prior to photography

A property readiness checklist may be provided to assist client preparation.

SECTION 20 – CONTENT INTEGRITY REQUIREMENTS

20.1 Editing Restrictions

Client may crop or resize Media but may not:

• Remove permanent property defects

• Misrepresent property condition

• Alter architectural integrity

• Create deceptive marketing content

• Remove metadata, copyright, or licensing marks

20.2 MLS Compliance

Client is responsible for complying with MLS image rules. Blue Dot Photos is not liable for MLS rejection due to improper Client edits.

SECTION 21 – ARTIFICIAL INTELLIGENCE & TRAINING RESTRICTIONS

21.1 Prohibited AI Use

Clients shall not use Media, in whole or in part, to train, fine-tune, or develop artificial intelligence or machine learning models whether now known or later developed, without the prior written consent of Blue Dot Photos.

21.2 AI Enforcement

Unauthorized AI use results in:

• Immediate license termination

• Retroactive commercial licensing fees

• Legal enforcement for copyright misuse

SECTION 22 – DMCA POLICY (COPYRIGHT ENFORCEMENT)

Blue Dot Photos complies with the Digital Millennium Copyright Act (DMCA). Copyright takedown requests must be submitted to:

Requests must include:

• Proof of ownership

• URL(s) of infringing media

• Statement under penalty of perjury

SECTION 23 – FRAUD PREVENTION & MISUSE

Blue Dot Photos may suspend access without refund if:

• Media is downloaded by unauthorized third parties

• Account credentials are shared or compromised

• Client engages in piracy, redistribution, or resale

• Chargeback fraud is attempted

Chargebacks will result in:

• Legal recovery action

• Collections involvement

• Permanent account suspension

SECTION 24 – CONFIDENTIALITY

Both parties agree to keep confidential any non-public business information disclosed in connection with the Services, including but not limited to pricing, business methods, operational processes, client information, and project discussions. Such information may not be disclosed to any third party or used for purposes outside the scope of this Agreement without prior written consent. Blue Dot Photos may require a separate Non-Disclosure Agreement (NDA) for sensitive or proprietary information.

SECTION 25 – INDEMNIFICATION

The Client agrees to defend, indemnify, and hold harmless Blue Dot Photos and its owners, employees, contractors, and agents from and against any claims, damages, liabilities, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

• The client’s misuse of Media or Services

• Violations of these Terms

• Violations of MLS rules, FAA regulations, or applicable laws

• Third-party claims arising from the Client’s use of Media or Services

• Copyright infringement or other intellectual property violations resulting from the Client’s actions

This obligation survives the termination of this Agreement.

SECTION 26 – LIMITATION OF LIABILITY

To the fullest extent permitted by law:

• Blue Dot Photos’ total liability is limited to the amount paid by Client for the specific service giving rise to a claim.

• Blue Dot Photos is not responsible for:

• Loss of profits or business

• Third-party platform outages (e.g. InsideMaps)

• MLS/media rejection

• Delays caused by Client or force majeure events

• Any other technical, operational, third-party, or external factors beyond the reasonable control of Blue Dot Photos

SECTION 27 – NO WARRANTY

All Services and Media are provided “as is” and “as available.” Blue Dot Photos does not guarantee:

• MLS approval

• Real estate sales performance

• Platform uptime

• Unlimited file retention

• Hosting duration unless stated in writing

SECTION 28 – TERMINATION OF SERVICES

Blue Dot Photos reserves the right to terminate Services and revoke Media licenses without refund in the event of Client misconduct, including but not limited to:

• Client violates Terms or licensing rules

• Client attempts to resell or redistribute Media

• Client engages in abusive behavior

• Client submits chargeback fraud or fails to pay

Upon termination:

• All licenses are revoked

• All Media must be removed from use by Client

SECTION 29 – DISPUTE RESOLUTION

Before arbitration or legal action:

• Client must notify Blue Dot Photos of dispute in writing at legal@Insidemaps.com

• Both parties must attempt good-faith resolution within 10 business days

SECTION 30 – ARBITRATION AGREEMENT

All disputes shall be resolved exclusively through binding arbitration in California under the American Arbitration Association (AAA).

No class-action lawsuits are permitted.

Each party is responsible for its own legal fees unless otherwise ordered.

SECTION 31 – GOVERNING LAW

This Agreement is governed by the laws of the State of California, without regard to conflict of law principles. Venue for any permitted legal action will be San Francisco County, California.

SECTION 32 – INJUNCTIVE RELIEF (MEDIA MISUSE)

Unauthorized use, resale, AI training, redistribution, sublicensing, or transfer of Media constitutes irreparable harm to Blue Dot Photos. Blue Dot Photos reserves the right to immediately seek injunctive relief and damages for copyright violations, without requirement of bond.

SECTION 33 – NON-SOLICITATION OF PERSONNEL

Client agrees that during the term of this Agreement and for 12 months following the Client’s last engagement with Blue Dot Photos, Client shall not directly or indirectly hire, solicit, or contract any Blue Dot Photos photographers, editors, staff, or independent contractors to perform real estate marketing, listing media, or related property marketing services that are competitive with services offered by Blue Dot Photos.

This restriction does not apply to services unrelated to real estate or property marketing, including but not limited to headshots, event photography, commercial photography, or other creative services not offered by Blue Dot Photos.

Any violation of this section shall result in liquidated damages of $5,000 per individual engaged, which the parties agree represents a reasonable estimate of the costs associated with recruiting, training, and replacing personnel.

SECTION 34 – FORCE MAJEURE

Blue Dot Photos is not liable for delays caused by events beyond its control, including natural disasters, power outages, labor strikes, platform outages, illness, or government regulation.

SECTION 35 – ASSIGNMENT

Client may not assign, transfer, share, or sublicense rights under this Agreement without express written consent from Blue Dot Photos.

SECTION 36 – RELATIONSHIP OF PARTIES

Nothing in this Agreement creates a partnership, joint venture, or employment relationship between Company and Client. Company provides the Services as an independent contractor and not as an employee, agent, or partner of Client.

SECTION 37 – SEVERABILITY

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions will continue in full force.

SECTION 38 – ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between Client and Blue Dot Photos and supersedes all prior agreements.

SECTION 39 – MODIFICATIONS

Blue Dot Photos may modify these Terms at any time. Updates will be posted on the Website and take effect immediately.
